Insider Activity

What is Net Insider Buying (12M)?

The dollar value of open-market shares insiders bought minus the value they sold over the last twelve months.

How it is calculated

Sum of shares times price for open-market purchases (Form 4 code P) minus the same for open-market sales (code S), non-derivative, priced transactions only.

How to read it

The longer window smooths out a single large sale. Compare with the six-month figure to see whether the tone has changed recently.

Keep in mind

Option exercises, grants, gifts, tax withholding and transactions whose price appears only in a footnote are excluded.

Where the numbers come from

Scrutar computes Net Insider Buying (12M) from the Form 4 reports insiders file with the SEC, using the transaction code, share count and price on each line.
