By accessing or using Scrutar ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.
2. Description of Service
Scrutar is a financial data analysis platform that aggregates, processes, and presents information from public SEC filings and other publicly available sources. The Service uses artificial intelligence and machine learning to extract data, generate summaries, identify patterns, and provide analytical tools for research purposes.
3. Not Financial Advice
Scrutar does not provide financial advice, investment advice, tax advice, legal advice, or any other form of professional advisory services.
All data, analysis, summaries, risk assessments, red flag detections, guidance interpretations, sentiment scores, and any other content presented through the Service are for informational and research purposes only. Nothing on the Service constitutes a recommendation or solicitation to buy, sell, or hold any security, financial product, or investment strategy.
You should always consult with a qualified financial advisor, accountant, or other professional before making any investment decisions. Scrutar is not a registered broker-dealer, investment advisor, or financial planner. Your use of the Service does not create any fiduciary relationship between you and Scrutar.
4. AI-Generated Content Disclaimer
Scrutar uses artificial intelligence to extract data from SEC filings and generate analytical content. AI-generated content may contain errors, inaccuracies, or omissions.
Specifically, you acknowledge and accept that:
- Financial data extracted from filings (revenue figures, ratios, balance sheet items, etc.) may be incorrectly parsed, misattributed, or incomplete.
- AI-generated summaries, guidance interpretations, and risk analyses may misrepresent or oversimplify the original filing content.
- Red flag detections and anomaly scores are algorithmic assessments, not definitive determinations of fraud, misconduct, or material risk.
- Sentiment analysis, peer comparisons, and relationship mapping are approximate and may not reflect the full context of corporate disclosures.
- Responses from "Ask Scrutar" (the conversational AI feature) are generated by large language models and may produce incorrect, incomplete, or misleading answers.
You are responsible for independently verifying any data or analysis obtained through the Service against the original source filings available on the SEC's EDGAR system or other authoritative sources before relying on it for any purpose.
5. Data Sources and Accuracy
Scrutar sources data from publicly available SEC filings and other public datasets. While we strive to maintain accurate and up-to-date information, we do not guarantee the completeness, accuracy, reliability, or timeliness of any data presented through the Service. Filing data may be delayed, incomplete, or contain errors introduced during processing.
6. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information during registration and to keep your account information current. You must notify us immediately of any unauthorized use of your account.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to gain unauthorized access to the Service, other user accounts, or related systems.
- Use automated tools, bots, or scrapers to access or extract data from the Service beyond normal usage, unless explicitly authorized.
- Redistribute, resell, or sublicense data obtained through the Service without prior written consent.
- Interfere with or disrupt the Service or its infrastructure.
Features described as "unlimited" are subject to fair and reasonable use. We reserve the right to throttle or restrict access if usage significantly exceeds normal patterns, impacts platform performance, or appears to be automated abuse rather than legitimate business use.
8. Intellectual Property
The Service, including its design, features, code, and original content, is owned by Scrutar and protected by intellectual property laws. The underlying SEC filing data is publicly available, but our analysis, presentation, and AI-generated content are proprietary. You retain ownership of any notes, memos, or other content you create within the Service.
9. Limitation of Liability
To the fullest extent permitted by law, Scrutar shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of the Service. This includes, without limitation, any losses resulting from reliance on data, analysis, or AI-generated content provided through the Service.
In no event shall Scrutar's total liability exceed the amount you paid for the Service during the twelve months preceding the event giving rise to the claim.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
11. Subscription and Billing
Certain features of the Service may require a paid subscription. Subscription fees, billing cycles, and cancellation terms will be presented to you at the time of purchase. We reserve the right to modify pricing with reasonable notice. Refunds are handled on a case-by-case basis.
12. Termination
We may suspend or terminate your access to the Service at any time for violation of these terms or for any other reason at our discretion, with or without notice. You may delete your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately.
