Governance

What is say-on-pay support?

The share of shareholders’ votes in favor of the executives’ pay at the latest annual meeting.

How it is calculated

Votes for divided by votes for plus votes against, from the meeting results the company files. Abstentions are not counted.

How to read it

Most companies clear 90%. Below 70% is the level at which ISS, the largest proxy adviser, expects the board to respond; below 50% the resolution normally failed.

Keep in mind

The vote is advisory, so a failed vote binds nobody. The result becomes public only when the company files the meeting’s 8-K, due within four business days.

Where the numbers come from

Scrutar reads say-on-pay support from the company's latest proxy statement (DEF 14A) and the Form 8-K that reports its annual meeting's vote, using the figures the company itself tagged or filed.
