What is CEO pay actually paid?

The CEO’s pay with stock and option awards re-measured at their value during the year rather than at grant, so it shows what the package was really worth as the share price moved.

How it is calculated

A figure the SEC requires companies to report: total pay adjusted for how the value of the CEO’s equity awards changed during the year, with vested awards counted at vesting, plus a pension adjustment.

How to read it

Read it beside total pay. When actually paid runs well above the award, the share price rose after the grant; well below, and it fell. Over several years it shows whether pay has tracked shareholders’ experience.

Keep in mind

It swings with the share price, so a single year says little. The SEC only required this figure from the 2023 proxy season, so older proxies have none.

Where the numbers come from

Scrutar reads CEO pay actually paid from the company's latest proxy statement (DEF 14A) and the Form 8-K that reports its annual meeting's vote, using the figures the company itself tagged or filed.
