What is CEO total pay?

What the chief executive was paid for the year: salary, bonuses, the value of shares and options granted, and perks.

How it is calculated

The CEO’s total as the company reports it in its proxy statement, with shares and options valued on the day they were granted.

How to read it

Compare it with peers of similar size and with the company’s own results. A total far above peers with weaker returns is what the say-on-pay vote and the proxy advisers react to.

Keep in mind

Equity awards are counted at their value on the day they were granted, not what they became worth.

Where the numbers come from

Scrutar reads CEO total pay from the company's latest proxy statement (DEF 14A) and the Form 8-K that reports its annual meeting's vote, using the figures the company itself tagged or filed.
